1. Scope of Work

• Supply of Equipment: The Company will provide air conditioning units and related equipment, as specified in the quotation provided to the Client. This includes model numbers, cooling capacities, and other specifications.

• Installation Procedures: The Company will carry out the installation of air conditioning systems, and will recommend any necessary modifications to the existing infrastructure, in accordance with industry standards required for installing the systems. The execution of the modifications is the responsibility of the client.

• Equipment Specifications: The Client agrees to the specifications of the equipment as outlined in the contract. Any requests for changes may incur additional costs and will require written approval from both parties.

2. Pricing and Payment Terms

• Total Cost: The total cost of the services, including an itemized breakdown of equipment, labor, and other charges, will be outlined in the contract or quotation.

• Payment Schedule: 

  • A [50%] deposit is required upon signing of the agreement.

  • Progress payments will be made as specified in the contract (e.g., before shipment).

• Payment Methods: Payments can be made by bank transfer, credit card, or cheque. Details of accepted payment methods will be outlined in the invoice or contract.

• Late Payments: Any overdue payments will incur an interest charge of [2.5%] per day past the due date.

3 . Delivery and Installation Schedule

• Delivery Timeline: The Company will deliver the equipment within the agreed-upon timeframe, which will be specified in the contract.

• Installation Schedule: Installation will begin on the agreed start date and will be completed by the specified end date.

• Delays: The Company will inform the Client of any potential delays due to weather conditions, supply chain issues, or other unforeseen circumstances. In the event of such delays, both parties may negotiate an extension of the timeline.

4. Warranties and Guarantees

• Manufacturer’s Warranty: All air conditioning units come with a manufacturer’s warranty, details of which will be provided to the Client upon delivery.

• Installation Warranty: The Company provides a 1-year warranty on installation workmanship. This warranty covers any defects arising from faulty installation practices.

• Warranty Conditions: The warranties will only remain valid if the equipment is properly maintained and operated in accordance with the manufacturer’s guidelines. Any modifications to the equipment or unauthorized servicing will void the warranty.

5. Maintenance and Service Agreements

• Maintenance Services: Post-installation, the Company offers optional maintenance agreements to ensure the continued performance of the equipment. The terms of such agreements will be outlined in a separate contract.

• Service Frequency: If the Client opts for a maintenance agreement, routine checks will be performed once in four months to ensure optimal functioning.

• Additional Services: Any repairs or services outside the scope of the regular maintenance agreement will be subject to additional charges.

6. Liability and Insurance

• Installation Liability: The Company will take all necessary precautions to prevent damage during installation. However, the Company shall not be held responsible for damages to property caused by circumstances beyond its control, such as existing structural issues.

• Insurance Coverage: The Company is covered by comprehensive public liability insurance. The Client is advised to ensure they have appropriate coverage for their property.

• Indemnity: Both parties agree to indemnify and hold each other harmless against any claims, damages, or legal expenses arising from actions taken during the course of the agreement, except where such claims result from gross negligence or willful misconduct.

7. Compliance with Regulations

• Building Codes: The Company ensures that all installations comply with local building codes and standards in the UAE.

• Environmental Compliance: The Company adheres to all environmental regulations regarding the use of refrigerants and other materials in air conditioning systems, including the proper disposal of old equipment and refrigerants.

8. Termination Clause

• Termination by the Company:  The Company reserves the right to terminate the agreement if the Client fails to meet payment obligations or breaches any other terms of the contract.

• Termination by the Client:  The Client may terminate the agreement if the Company fails to meet the agreed-upon service levels or is unable to deliver the equipment within a reasonable timeframe. Written notice must be provided, and both parties will negotiate any outstanding balances.

• Termination Costs:  Any expenses incurred up to the point of termination will be payable by the Client, unless termination was due to the Company’s failure to deliver services as agreed.

9. Dispute Resolution

• Mediation and Arbitration:  In the event of a dispute, both parties agree to first attempt mediation to resolve the issue. If mediation fails, the dispute will be referred to binding arbitration in accordance with the laws of the UAE.

• Jurisdiction:  Any legal matters arising from this agreement will be governed by the laws of the UAE and resolved within the jurisdiction of the UAE courts.
